Terms of Service
These draft terms describe the basic rules for using the Proclify LLC website and engaging Proclify for services.
About the service
Proclify LLC provides project-based consulting and implementation for practical AI workflows, automations, websites, and business operations systems. A project begins only when both sides agree to a written scope, pricing, and payment terms.
Website use
You may use this site for lawful business and informational purposes. Do not interfere with the site, attempt unauthorized access, upload malicious code, or use site content to violate another person’s rights or the law.
Proposals and client work
Website descriptions are general information, not a guarantee of a specific result. Estimates, timelines, deliverables, dependencies, acceptance criteria, support, and ownership should be stated in the applicable written agreement. Client work may depend on third-party tools, permissions, data quality, and client decisions.
Payments and cancellation
Fees, deposits, invoicing dates, taxes, late charges, refunds, cancellation rights, and expenses will be governed by the applicable written agreement. Do not rely on this page as a substitute for that agreement.
Intellectual property
Unless a written agreement says otherwise, each party keeps the rights it owned before the project. The agreement should identify what is assigned to the client, what remains Proclify’s reusable know-how or tools, and what third-party licenses apply.
Confidentiality and data
Do not send sensitive personal, health, financial, regulated, or confidential information through an ordinary email link unless Proclify has agreed in writing to the required safeguards and data-handling terms. Any confidentiality or data-processing commitments should appear in the signed client agreement.
Disclaimers
The website and its content are provided for general information and may change. To the extent permitted by law, Proclify disclaims warranties not expressly stated in a written agreement. Proclify does not provide legal, tax, medical, security-certification, or compliance advice.
Limitation of liability
Any liability limits, exclusions, indemnities, and remedies must be stated in the applicable signed agreement and should be reviewed by counsel for enforceability.
Changes and contact
We may update these terms as the site or services change. Questions can be sent to [email protected]. The final version should identify the legal entity and governing law after formation is complete.
